Healthcare and Pharmaceutical Sector
Regulatory scrutiny and operational disruptions hit major healthcare firms today, with Boston Scientific suffering a cyberattack and Deutsche Bank downgrading Novo Nordisk. Meanwhile, sector dealmaking and innovation continued as Sword Health acquired Headspace, Outer Bio launched with $23 million, and the FDA approved Revolution Medicines' novel pancreatic cancer treatment.
Sword Health has agreed to acquire mental health company Headspace through a cash purchase of its parent company, OrangeDot. The transaction combines two digital health unicorns and is scheduled to become effective on September 14, following a material change filing submitted to the Massachusetts Health Policy Commission on July 22. Sword Health recently raised $40 million in 2025 at a valuation exceeding $4 billion, bringing its total funding to $493 million. The acquisition broadens Sword Health's platform beyond its core virtual physical therapy offering into mental health services. Financial terms of the transaction were not disclosed in the regulatory paperwork.
Boston Scientific suffered a cyberattack that triggered a global disruption across its operations, freezing order processing and product shipments. The medical technology company detected the security incident on Tuesday and disclosed it in a federal regulatory filing on Wednesday. Investigators and third-party cybersecurity experts have not yet established a timeline for fully restoring the affected network and business applications. The network outage forced thousands of staff at the company's Cork, Ireland campus to be sent home. Shares dropped more than 4% following the disclosure, adding fresh uncertainty to an already challenging year for the device maker.
Deutsche Bank downgraded Novo Nordisk to Sell from Hold, marking the first bearish call from a major bank following a 70% collapse from the stock's 2025 peak above $87. US-listed shares fell 3.02% to $47.19 in early trade, while European shares dropped 2.52% to DKK 297.25. Analyst Emmanuel Papadakis cut his price target by 9% to DKK 265, citing midterm revenue cuts, a limited Medicare prescription bump, and the removal of ziltivekimab from the immediate earnings outlook. These hurdles compound mounting fears of a 2027 revenue cliff as the Danish drugmaker continues to lose ground to Eli Lilly in the GLP-1 obesity-drug market. Management faces an upcoming capital markets day on 21 September to address the growth concerns and elevated information uncertainty highlighted by the brokerage.
Turkey's Competition Authority opened an antitrust investigation into Teva Pharmaceutical Industries for allegedly blocking generic rivals through patent system manipulation and misleading health authorities. Regulators are examining whether the company engaged in practices designed to make market entry more difficult for competitors, including divisional patent applications and spreading doubts about the safety and efficacy of rival products. The inquiry echoes a prior European Commission case where Teva was hit with a $503 million fine for delaying competition to its multiple sclerosis medicine Copaxone. Teva stated the Turkish matter relates to a legacy issue similar to the European case and that it denies any wrongdoing. Teva shares traded up 1.49% at 37.48 on the news.
biopharmadive.com reports that Michael Polansky has launched Outer Bio, a skin-focused biotech startup that has emerged from stealth. The company keeps harvested skin tissue alive for roughly a month, significantly longer than the typical week-long lifespan of such samples in standard conditions. By combining this preserved tissue with artificial intelligence tools, Outer screens millions of compounds to generate skincare ingredients and treatments for skin conditions. Each compound-sample pairing yields more than 30,000 data points, contributing to a platform total exceeding 10 terabytes across more than 300 donors and 10,000 potential treatments. Polansky previously spent nearly 15 years running the family office of Facebook's first president, Sean Parker, and operating the Parker Institute for Cancer Immunotherapy. Outer was formed in 2020 and currently employs 19 people backed by $23 million in funding from investors including Wing Venture Capital, Initialized Capital, Sozo Ventures, and Polansky's firm Hawktail. The startup is collaborating with commercial entities, including Lady Gaga's makeup brand Haus Labs.
The Food and Drug Administration approved Revolution Medicines' Rasonque, known generically as daraxonrasib, as the first targeted therapy for the most common form of advanced pancreatic cancer. The once-daily oral RAS inhibitor achieved a median overall survival of 13.2 months in a clinical trial of 500 adult patients, compared to 6.7 months for standard chemotherapy. Rasonque targets the RAS protein, a genetic driver present in 90% to 100% of pancreatic adenocarcinomas that has historically resisted pharmaceutical intervention. The agency granted the approval 6.5 months ahead of its Prescription Drug User Fee Act deadline using its National Priority Voucher pilot program. Revolution Medicines secured the clearance following clinical data that also demonstrated doubled progression-free survival in pretreated patients.
The Federal Trade Commission finalized a consent order for Ascension Health Alliance’s $3.9 billion acquisition of AmSurg LLC. The regulatory clearance requires Ascension to divest seven AmSurg ambulatory surgery centers across Nashville, Panama City, Tulsa, Waco, and Wichita. SC Affiliates will acquire six of the centers, while Florida Gastroenterology Center will take over the seventh facility in Panama City. The FTC settlement addresses allegations that the combination would have restricted competition for outpatient surgical services provided by gastroenterologists, ophthalmologists, and orthopedists. In addition to the divestitures, the order mandates that Ascension give prior notice to the Commission before pursuing any future ambulatory surgery center acquisitions in those specific metropolitan markets.
